Terms of Use

TWG Logistics — a service of The Wicker Group LLC

1. Acceptance

These Terms of Use govern your use of the TWG Logistics website, customer portal and any related online tools (together, the "Site"). The Site is operated by The Wicker Group LLC ("TWG", "we", "us"). By using the Site you agree to these terms. If you do not agree, do not use the Site.

2. These terms are not your transportation contract

The Site is an information and document-access tool. Nothing on it changes the commercial terms that govern the movement of your freight. Rates, liability, claims handling, payment terms and service commitments are set by your broker-carrier or broker-shipper agreement with TWG, by the applicable rate confirmation, and by the bill of lading. Where these Terms of Use conflict with any of those, those documents control.

3. Accounts and access

Portal access is granted to business customers and their authorized personnel. If you are given an account:

  • keep your credentials confidential and do not share them

  • you are responsible for activity that occurs under your account

  • tell us promptly at [SUPPORT EMAIL] if you believe your account has been compromised

  • we may suspend or revoke access at any time, including when an account is no longer needed

4. Acceptable use

You agree not to:

  • use the Site for any unlawful purpose

  • access data belonging to another customer, or attempt to

  • probe, scan or test the security of the Site, or bypass any access control

  • introduce malware, or interfere with the operation or availability of the Site

  • scrape, harvest or bulk-download content by automated means without our written permission

  • resell or redistribute information obtained from the Site

5. Documents and information

Shipment documents and tracking information are provided for your convenience. We work to keep them accurate and current, but information on the Site may be incomplete, delayed or superseded — including status updates that depend on third-party carriers. For anything time-critical or financially significant, confirm with your TWG representative.

6. Intellectual property

The Site, its content, layout and the TWG Logistics name and marks are owned by The Wicker Group LLC or its licensors. You may use documents relating to your own shipments for your ordinary business purposes. You may not otherwise copy, modify, distribute or create derivative works from the Site.

Documents you submit to us remain yours. You grant us the right to use them as needed to arrange and document transportation and to meet our recordkeeping obligations.

7. Third-party services

The Site may link to or interoperate with systems we do not control. We are not responsible for those services, their availability, or their content.

8. Disclaimer

THE SITE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE OR SECURE.

This section applies to the Site only. It does not limit or disclaim TWG's obligations regarding the transportation services themselves, which are governed by the agreements referenced in Section 2.

9. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, TWG WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOST PROFITS OR LOST DATA, ARISING FROM YOUR USE OF THE SITE. OUR TOTAL LIABILITY ARISING FROM THE SITE WILL NOT EXCEED ONE HUNDRED DOLLARS ($100).

Again, this limits liability for the Site. Cargo loss and damage liability is governed separately by your transportation agreement, the rate confirmation and applicable law.

10. Indemnity

You agree to indemnify and hold harmless The Wicker Group LLC and its officers, employees and agents from claims and expenses arising out of your misuse of the Site or your breach of these terms.

11. Privacy

Our handling of personal information is described in our [Privacy Policy](https://twg-logistics.com/privacy-policy).

12. Changes

We may revise these terms at any time by posting an updated version with a new "Last updated" date. Continuing to use the Site after a change means you accept the revised terms.

13. Governing law

These terms are governed by the laws of the State of Arizona, without regard to its conflict-of-laws rules. Any dispute arising from the Site will be brought in the state or federal courts located in Maricopa County, Arizona, and you consent to that jurisdiction.

14. Severability and entire agreement

If any provision is held unenforceable, the rest remains in effect. Together with the Privacy Policy, these terms are the entire agreement between you and TWG regarding the Site — and, as stated in Section 2, are separate from and subordinate to your transportation agreements.
